Terms and Conditions
Terms & Conditions of Installation, Repair, and Services
These Terms & Conditions apply to all installation, repair, and services provided by Mega Solution Electrical Engineering Ltd. Unless otherwise agreed in writing, all services provided are subject to the following terms and conditions.
Definitions
- “Services”: Engineering and related services for the Customer’s Equipment as outlined in our quotation or agreed discussions.
- “We”, “us”, and “our”: Mega Solution Electrical Engineering Ltd., providing services to the Customer.
- “You” and “your”: The individual or company receiving services.
- “Customer’s Equipment”: Equipment or materials that belong to you or for which services are requested.
Incorporation of Conditions
- General Agreement: All work agreements are subject to these terms, and other terms proposed by the Customer do not apply.
- Exclusions: All other implied terms, including those based on previous dealings or trade customs, are excluded.
- Amendments: No changes to these terms will be valid unless agreed upon in writing.
Quotations/Prices
Our quotations provide a basis for potential orders but are only binding upon acceptance or confirmation by us. If inspection reveals unforeseen work, we will promptly inform you, potentially offering alternative solutions.
- Pricing Validity: Orders placed within 21 days of the quotation date will retain the quoted price unless stated otherwise.
- Additional Costs: If delays are caused by you or circumstances within your control, any resulting costs will be your responsibility.
- Overtime: Overtime charges apply if requested to meet specific timelines.
Work on Site
Where services are performed on your site, you must provide free, safe access and storage for our equipment and ensure compliance with health and safety laws.
Payment
Unless agreed otherwise, invoices are issued upon completion and are payable within 7 days in Ghanaian Cedi or US Dollars.
Designs, Drawings, and Specifications
You are responsible for the accuracy of any designs or specifications provided. We assume no liability for issues arising from inaccurate customer-provided information.
Warranty
We will handle the Customer’s Equipment with care and are liable for any loss or damage caused by our negligence. Workmanship and materials are warranted for 12 months. Liability for defective work or materials is limited to the invoice value.
Transportation
If we agree to transport Equipment, liability for any transit damage will be limited to the replacement or benefit of insurance coverage.
Contract Termination
We may terminate the contract if you fail to meet obligations within seven days of notification, if bankruptcy or insolvency occurs, or if legal proceedings related to insolvency begin.
Liability Limitations
Our liability is limited to direct damages up to the total amount paid under this contract, with an upper limit of ₵30,000, excluding indirect losses unless required by law.
Force Majeure
We will not be liable for any failure to perform obligations due to causes beyond our reasonable control, such as natural events or third-party actions.
Disputes
Unresolved disputes regarding service quality will be referred to an expert chosen by both parties. The expert’s report will be final and binding.
VAT
Unless specified, all amounts payable under this contract are exclusive of VAT and other applicable taxes.
Assignment and Third Parties
The Customer may not assign this agreement without our written consent. We may subcontract certain services at our discretion.
Notices
All notices must be in writing and sent via email or post to the specified addresses on our quotations, acknowledgments, or invoices.
Law
This agreement is governed by Ghanaian Law.
